Acceptance of Terms
By accessing eacognitive.com or engaging EA Cognitive for services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this website or engage our services.
Services
EA Cognitive provides AI architecture, engineering, and deployment services under separate client agreements. The scope, deliverables, timeline, and pricing of any engagement are defined in the applicable Statement of Work (SOW) or service agreement, which governs over these general Terms in the event of any conflict.
Intellectual Property
Work product developed for a client transfers to the client upon receipt of full payment, as defined in the applicable agreement. EA Cognitive retains ownership of all pre-existing tools, frameworks, proprietary methodologies, and internal systems used or developed independently of any client engagement. This website and all of its content remain the exclusive property of EA Cognitive.
Confidentiality
EA Cognitive treats all client information as confidential. Project details, business logic, proprietary data, and client identities are not disclosed without explicit written permission. This obligation survives the termination of any engagement.
Client Responsibilities
Clients are responsible for providing accurate project requirements, timely feedback, and necessary access to systems, data, and stakeholders. Delays or blockers caused by client-side dependencies may affect delivery timelines and are not the responsibility of EA Cognitive.
Payment Terms
Payment terms are specified in the applicable SOW or service agreement. EA Cognitive reserves the right to pause work on any engagement where payment obligations are not met. All fees are non-refundable unless otherwise agreed in writing.
Limitation of Liability
To the fullest extent permitted by applicable law, EA Cognitive's total liability in connection with any engagement is limited to the fees paid for the specific service giving rise to the claim. EA Cognitive is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, regardless of the cause.
Indemnification
You agree to indemnify and hold EA Cognitive harmless from any claims, losses, or damages arising from your misuse of deliverables, violation of these Terms, or infringement of third-party rights in connection with information or materials you provided.
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the appropriate courts of Texas, and both parties consent to jurisdiction therein.
Changes to These Terms
EA Cognitive reserves the right to update these Terms at any time. The date at the top of this page reflects the most recent revision. Continued use of the site or services following any update constitutes acceptance of the revised Terms.
